Terms of Service

These Terms of Service (“Terms”) govern your use of the NAP Designs WhatsApp Business Platform (“Platform”) operated by NAP Designs (“NAP”, “we”). By creating an account you agree to be bound by these Terms and to Meta's WhatsApp Business Terms of Service.

1. Eligibility

You must be a registered business in India (or a jurisdiction where the Platform is legally available), 18 years or older, and authorised to bind your business to these Terms. You must have — or be in the process of obtaining — a WhatsApp Business Account (WABA) that complies with Meta's commerce and messaging policies.

2. Subscription & payment

• Software fees are as displayed on napdesigns.com/#pricing.
• Meta bills you directly for WhatsApp conversation costs. NAP does not surcharge messages.
• Subscription is billed monthly via Razorpay in advance.
• GST at 18% is added to Indian invoices.
• Wallet top-ups (for future usage-based add-ons) are non-refundable but stay on the wallet indefinitely.
• Failed payments > 7 days may result in read-only mode.

3. Your responsibilities

• Comply with Meta's WhatsApp Business Solution Terms of Service and Commerce Policy.
• Only message contacts who have opted in. Honour STOP replies immediately (the Platform enforces this automatically).
• Do not use the Platform for spam, phishing, misleading marketing, unlawful, harassing, or fraudulent content.
• Do not send messages to numbers in the Do-Not-Disturb (DND) register unless you have express consent under DPDPA.
• Keep your Meta App credentials confidential. Rotate the System User token if you suspect compromise.
• Take responsibility for content you send. NAP is not the publisher of your messages.

4. Acceptable use

Prohibited categories include but are not limited to:

• Illegal drugs, weapons, gambling (where unlicensed), adult content
• Financial-fraud schemes, pyramid marketing, unregulated investment offers
• Political campaigning outside Election Commission rules
• Content that violates intellectual property or defames third parties

Meta may suspend your WABA for policy violations. NAP will cooperate with Meta on such investigations.

5. Uptime & support

• Target uptime: 99.9% monthly on the Growth plan and above.
• Scheduled maintenance windows: Sundays 02:00–04:00 IST.
• Support hours (Growth+): 09:00–21:00 IST business days.
• Downtime does not include Meta's WhatsApp Cloud API outages.

6. Data ownership

You own the customer data you upload and generate on the Platform. We claim no ownership over your conversations, contacts, or templates. See the Privacy Policy for how we process it.

7. Termination

• You may cancel from Settings → Billing at any time. Access continues until the end of the current paid period.
• We may terminate your account for material breach with 30 days notice, or immediately for security or Meta-policy violations.
• On termination, we retain your data for 90 days for export, then delete permanently except as required by law.

8. Limitation of liability

To the maximum extent permitted by law, NAP's total liability for any claim arising from these Terms is limited to the software fees you paid in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, or consequential damages including lost profits or lost data.

The Platform is provided “as is”. We disclaim all implied warranties including merchantability and fitness for a particular purpose.

9. Indemnity

You indemnify NAP against third-party claims arising from your breach of these Terms, your content, or your violation of law or Meta's policies.

10. Governing law & disputes

These Terms are governed by the laws of India. Courts at Mumbai, Maharashtra shall have exclusive jurisdiction, subject to Indian law on consumer protection.

11. Changes

We may revise these Terms with 30 days email notice for material changes. Continued use after the effective date constitutes acceptance.
